Terms of Service

1folder ("we", "us") is an AI-assisted bookkeeping service operated by SaadLLC. You upload documents; we classify, extract data, post journal entries, and deliver monthly reports.
We are not a licensed CPA firm. We do not provide tax, legal, or investment advice. We provide accurate bookkeeping that a CPA or tax preparer can use to file on your behalf.
One business per account. You are responsible for keeping your sign-in email and authenticator device secure. Tell us within 24 hours if you suspect unauthorized access.
You must be 18+ and authorized to bind the business you sign up.
You retain ownership of every document you give us. You grant us a limited license to process those documents for the purpose of providing the service.
You represent that you have the right to share the documents with us (they're your business's records, not someone else's).
You must not upload documents that are illegal, fraudulent, or subject to privilege you don't control (e.g. another company's confidential records you obtained improperly).
The service is billed monthly via Stripe at the plan price shown on the pricing page. Promotional pricing (e.g. $199/mo launch rate) applies for the first 12 months and then transitions to standard pricing unless otherwise stated in writing.
You can cancel at any time; cancellation takes effect at the end of the current billing cycle. No refunds for partial months.
When you cancel, we keep your books for 30 days so you can export them. Email hi@1folder.xyz and we'll send you a full archive (journal, statements, source documents). After 30 days your data is deleted unless US tax-record retention law requires us to keep a copy (in which case it's held encrypted and inaccessible except by legal subpoena).
We aim for high availability but don't guarantee uptime. Planned maintenance is announced by email in advance.
The service is provided "as is." We do our best to post accurate journal entries but you (or your CPA) should review monthly reports before filing anything with the IRS or using them for business decisions.
To the maximum extent permitted by law, our aggregate liability for any claim related to the service is capped at the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, or consequential damages, including lost profits or business-interruption losses.
These terms are governed by the laws of the State of Texas, USA (where SaadLLC is organized), without regard to conflict-of-law rules. Any dispute not resolved amicably will be heard in a court of competent jurisdiction in Texas.
We may update these terms. Material changes get a notice email at least 30 days before they take effect.
